1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Buyer," "you," or "your") and Research Relay LLC, a California limited liability company ("Research Relay," "we," "us," or "our"). By accessing or using our website at research-relay.com (the "Site"), creating an account, or placing an order, you agree to be bound by these Terms, our RUO Disclosure, our Privacy Policy, and all other policies referenced herein.

If you do not agree to these Terms, you must not access or use the Site or purchase any products from Research Relay.

2. Research Use Only -- Product Restrictions and Buyer Obligations

2.1 Product Classification

All products sold through research-relay.com are research chemicals and peptides intended strictly for Research Use Only (RUO). These products are not consumer goods, food products, dietary supplements, or pharmaceutical products.

2.2 Prohibited Uses

Products purchased from Research Relay shall not be used for:

  • Human or animal consumption, ingestion, injection, inhalation, or topical application
  • Therapeutic, diagnostic, curative, or preventive purposes
  • Food or food additive purposes
  • Household or personal care purposes
  • Any purpose not consistent with legitimate scientific or laboratory research

2.3 Buyer Representations

By placing an order, you represent and warrant that:

  • You are purchasing products solely for legitimate research, laboratory, or scientific purposes
  • You have the necessary knowledge, training, and qualifications to safely handle research chemicals and peptides
  • You will comply with all applicable laws and regulations regarding the purchase, possession, handling, use, storage, and disposal of the products
  • You will not resell or distribute products for any prohibited purpose
  • All information you provide to Research Relay is accurate and complete

2.4 Compliance

You are solely responsible for ensuring that your purchase and use of products complies with all applicable federal, state, local, and international laws, regulations, and institutional requirements. Research Relay does not provide regulatory compliance advice.

3. Account Eligibility and Registration

3.1 Age Requirement

You must be at least 18 years of age to create an account, place an order, or otherwise use the Site. By using the Site, you represent and warrant that you meet this age requirement.

3.2 Account Creation

To place orders, you may be required to create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your login credentials
  • Accept responsibility for all activity that occurs under your account
  • Notify Research Relay immediately of any unauthorized use of your account

3.3 Account Termination

  • Suspected misuse of products
  • Provision of false or misleading information
  • Fraudulent, abusive, or illegal activity

4. Pricing, Payment, and Order Acceptance

4.1 Pricing

All prices are listed in United States Dollars (USD) unless otherwise stated. Prices are subject to change without notice. We make reasonable efforts to ensure pricing accuracy, but errors may occur. We reserve the right to correct pricing errors and cancel orders placed at incorrect prices.

4.2 Payment Methods

We accept the following payment methods:

  • Bitcoin (BTC) and Lightning Network payments
  • ACH bank transfers

4.3 Payment Terms

Payment is due in full at the time of order. For cryptocurrency payments, orders are confirmed upon sufficient network confirmations as determined by our payment processor. For ACH payments, orders are confirmed upon successful funds transfer.

4.4 Order Acceptance

Your placement of an order constitutes an offer to purchase. We reserve the right to accept or decline any order for any reason, including but not limited to:

  • Product availability
  • Pricing errors
  • Suspected Terms violations
  • Inability to verify buyer information
  • Suspected fraud or illegal activity

An order is not accepted until we send an order confirmation. We may cancel accepted orders if we subsequently determine that fulfillment would violate these Terms or applicable law.

4.5 Sales Tax

Applicable sales tax will be calculated and added to your order total as required by law.

5. Shipping and Delivery

5.1 Shipping Terms

Shipping terms, timeframes, and policies are described in our Shipping Policy, which is incorporated into these Terms by reference.

5.2 Title and Risk of Loss

Title to and risk of loss for products passes to you upon delivery to the shipping carrier. Research Relay is not responsible for loss or damage that occurs during transit, except as described in our Shipping Policy.

5.3 Delivery

You are responsible for providing accurate shipping information. Research Relay is not liable for delays or non-delivery caused by incorrect or incomplete shipping addresses, carrier issues, weather events, customs delays, or other circumstances beyond our control.

6. Returns and Refunds

Our returns and refund policies are described in our Refund Policy, which is incorporated into these Terms by reference. Due to the nature of research chemicals and peptides, returns are subject to significant restrictions for safety and contamination prevention reasons.

7. Intellectual Property

7.1 Site Content

All content on the Site, including but not limited to text, graphics, logos, images, product descriptions, and software, is the property of Research Relay LLC or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for its intended purpose of browsing and purchasing products. You may not:

  • Reproduce, distribute, modify, or create derivative works from any Site content
  • Use any data mining, robots, or similar data gathering methods
  • Use the Site for any commercial purpose other than purchasing products for your own research use
  • Remove or alter any copyright, trademark, or other proprietary notices

7.3 Trademarks

"Research Relay," the Research Relay logo, and other marks used on the Site are trademarks of Research Relay LLC. You may not use these marks without our prior written consent.

8. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RESEARCH RELAY PROVIDES THE SITE AND ALL PRODUCTS ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE SPECIFICALLY DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

RESEARCH RELAY DOES NOT WARRANT THAT:

  • THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE
  • PRODUCTS WILL MEET YOUR SPECIFIC RESEARCH REQUIREMENTS
  • PRODUCT DESCRIPTIONS OR OTHER SITE CONTENT ARE ACCURATE, COMPLETE, OR CURRENT

ALL PRODUCTS ARE PROVIDED FOR RESEARCH USE ONLY. NO WARRANTY IS MADE REGARDING THE SUITABILITY OF ANY PRODUCT FOR ANY PARTICULAR RESEARCH APPLICATION.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RESEARCH RELAY LLC, ITS MEMBERS, MANAGERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO:

  • YOUR USE OF OR INABILITY TO USE THE SITE OR PRODUCTS
  • ANY PRODUCT PURCHASED THROUGH THE SITE
  • ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SITE
  • UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE OR PRODUCTS EXCEED THE AMOUNT YOU PAID TO RESEARCH RELAY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Research Relay LLC, its members, managers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Site or products
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Your misuse of any product purchased from Research Relay
  • Any claim by a third party related to your use of products
  • Any inaccurate or misleading information you provide

This indemnification obligation shall survive termination of these Terms and your use of the Site.

11. Governing Law

These Terms and any disputes arising out of or related to these Terms or your use of the Site shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

12. Dispute Resolution

12.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to first contact Research Relay at [legal@research-relay.com] to attempt to resolve the dispute informally. We will attempt to resolve the dispute within thirty (30) days of receipt of your notice.

12.2 Binding Arbitration

If the dispute cannot be resolved informally, you and Research Relay agree that any dispute, claim, or controversy arising out of or relating to these Terms shall be resolved through binding arbitration administered by JAMS in accordance with its Streamlined Arbitration Rules and Procedures. The arbitration shall take place in California.

12.3 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

12.4 Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND RESEARCH RELAY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

13. Modification of Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Site with an updated "Last updated" date. Your continued use of the Site after changes are posted constitutes acceptance of the modified Terms. For material changes, we will make reasonable efforts to notify registered users via email.

14. General Provisions

14.1 Entire Agreement

These Terms, together with the RUO Disclosure, Privacy Policy, Refund Policy, Shipping Policy, and any other policies referenced herein, constitute the entire agreement between you and Research Relay regarding your use of the Site and purchase of products.

14.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms without restriction.

14.5 Force Majeure

Research Relay shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to natural disasters, acts of government, supply chain disruptions, carrier delays, or internet service interruptions.
