Registered Agent Options¶
Purpose¶
A registered agent receives legal and state correspondence on behalf of your LLC. This document covers selection criteria and provider categories—not specific vendor recommendations.
What a Registered Agent Does¶
| Function | Description |
|---|---|
| Receives service of process | If sued, they accept the papers |
| Receives state correspondence | Annual report reminders, compliance notices |
| Provides a public address | Their address appears on state records instead of yours |
| Maintains business hours | Must be available M-F during business hours |
Key privacy benefit: Using a commercial agent keeps your home address off public LLC filings.
Requirements (California)¶
- Must have a physical CA street address (no PO Box)
- Must be available during normal business hours
- Can be an individual (you) or a registered business entity
- If you move, you must update the registered agent address with the state
Option Categories¶
Option A: Commercial Registered Agent Service¶
What it is: A company whose business is receiving legal documents for LLCs.
| Pros | Cons |
|---|---|
| Privacy (their address, not yours) | Annual fee ($50-300/year) |
| Reliable—won't miss documents | Another vendor relationship |
| Often includes compliance reminders | Some upsell aggressively |
| Many can sign as organizer (extra privacy) | — |
Price range: $50-150/year for basic service
What to look for: - [ ] Clear, simple pricing (no hidden fees) - [ ] Includes document scanning/forwarding - [ ] Good reviews for reliability - [ ] Option to sign as organizer (keeps your name off Articles entirely) - [ ] No unnecessary upsells (formation packages, compliance "monitoring")
Red flags: - Extremely low first-year pricing with high renewal ($15 first year, $150 after) - Bundled services you don't need - Poor reviews about missed documents - Aggressive sales tactics
Option B: Virtual Office with Agent Service¶
What it is: A virtual office provider that also offers registered agent service as add-on.
| Pros | Cons |
|---|---|
| Bundled with mail/address service | May cost more than standalone agent |
| Single vendor for address needs | Core business isn't agent service |
| Convenient if you need both | — |
Best if: You're already using a virtual office for your business address.
Option C: Attorney as Registered Agent¶
What it is: Some business attorneys offer registered agent service.
| Pros | Cons |
|---|---|
| Direct legal relationship | Expensive ($200-500+/year) |
| Immediate legal counsel if served | Overkill for most small LLCs |
Best if: You already have an attorney relationship and want simplicity.
Option D: Be Your Own Agent¶
What it is: List yourself and your address.
| Pros | Cons |
|---|---|
| Free | Home address becomes public record |
| No vendor dependency | Must be available during business hours |
| — | If you move, must update state |
| — | Privacy is zero |
Not recommended for privacy-conscious setup.
Selection Criteria Matrix¶
When evaluating options, score on:
| Criterion | Weight | Notes |
|---|---|---|
| Privacy | High | Does their address (not yours) appear on records? |
| Reliability | High | Will they actually forward documents promptly? |
| Cost | Medium | $50-150/year is reasonable; avoid bait-and-switch |
| Organizer signing | Medium | Can they sign Articles so your name isn't on that document? |
| Document handling | Medium | Digital scanning? Physical forwarding? |
| Compliance reminders | Low | Nice to have, not essential |
| Bundled services | Low | Usually unnecessary upsells |
Organizer Signing Service¶
This is important for privacy.
When filing Articles of Organization, someone must sign as "Organizer." This becomes public record.
| Approach | Your name on Articles? |
|---|---|
| You sign as organizer | Yes |
| Agent signs as organizer | No (their name appears) |
Many commercial agents offer this for free or small fee. Confirm before selecting.
Note: Your name will still appear on Statement of Information as member/manager. Organizer signing only helps with the Articles document.
Provider Comparison (Researched 2026-02-04)¶
Recommended: Northwest Registered Agent¶
| Feature | Details |
|---|---|
| Cost | $125/year (free first year if they form your LLC) |
| Formation fee | $39 + $70 state fee |
| Organizer signing | YES - They sign as organizer, your name stays off Articles |
| Address on records | Their address (not yours) |
| Document handling | Same-day scanning to online portal |
| Data privacy | Never sells customer data |
| Extras included | Free business address, mail scanning (5 docs), compliance reminders |
Why recommended: Best privacy package - they sign as organizer AND use their address, keeping your name off the Articles of Organization entirely. Only your name on Statement of Information (unavoidable in CA). No upsells, good reputation.

Budget Alternative: California Registered Agent Inc¶
| Feature | Details |
|---|---|
| Cost | $49/year |
| Formation fee | $150 + state fee (or DIY) |
| Organizer signing | Unclear - uses their address but signing not confirmed |
| Address on records | 1401 21st Street, STE R, Sacramento, CA 95811 |
| Document handling | Same-day scanning, 3 free non-state mail scans/year |
| Data privacy | Claims not to sell data |
Trade-off: Cheapest option, but organizer signing unclear. You may need to sign Articles yourself (your name on public record) or file through them and confirm they'll sign.
