What CANNOT Be Shielded in CA

Key insight: In California, your name will appear on public records as member/manager. Full anonymity requires a different state (WY, NM, NV) + foreign qualification into CA—adds complexity and cost.

Recommendation: For a research chemical business where your product category is legal and above-board, the CA direct approach is simpler. Your name being public is a tradeoff for operational simplicity. If privacy is paramount, consider WY/NM holding structure, but recognize CA will still require a Statement of Information with foreign LLC details.

Note: The $800 franchise tax is owed for the first year even if you form on December 31. First-year is prorated only for new businesses that elect S-corp status.

Questions to Confirm

Before proceeding, verify:

  1. Is $800/year franchise tax acceptable? This is non-negotiable in CA.
  2. Is your name being on CA public records acceptable? If not, research holding structure.
  3. Do you have a CA street address for registered agent? If not, you need a service.
  4. Timeline: When do you want to be operational? Formation is fast, but banking takes longer.
