California LLC Requirements¶

| 1 | Reserve name (optional) | CA SOS | $10 |
| 2 | File Articles of Organization | CA SOS | $70 |
| 3 | Designate registered agent | In Articles | Included |

Total minimum filing cost: ~$90
Timeline¶
- Online filing: typically approved same day or within 1-3 business days
- Mail filing: 2-4 weeks
- EIN: immediate if done online (single-member LLC can use SSN to apply)
What Becomes Public Record¶
This is critical for privacy planning.
Articles of Organization (Form LLC-1)¶
| Field | Public? | Notes |
|---|---|---|
| LLC Name | Yes | Fully public, searchable |
| Purpose | Yes | Use generic: "any lawful purpose" |
| Registered Agent Name | Yes | Can be a service, not you |
| Registered Agent Address | Yes | Must be CA street address, not PO Box |
| Organizer Name | Yes | Person who signs—can be registered agent |
| Organizer Address | Yes | Can be registered agent's address |
| Management Structure | Yes | Member-managed vs Manager-managed |
Statement of Information (Form LLC-12)¶
| Field | Public? | Notes |
|---|---|---|
| Principal Address | Yes | Can be virtual office |
| Mailing Address | Yes | Can be same as principal or PO Box |
| Member/Manager Names | Yes | Your name will appear unless shielded |
| Member/Manager Addresses | Yes | Can use business address |
| Registered Agent | Yes | Same as Articles |
Privacy Shielding Options¶
What CAN Be Shielded¶
| Element | Method |
|---|---|
| Your home address | Use registered agent address on Articles; use virtual office on Statement of Information |
| Organizer identity | Have registered agent sign as organizer (many services offer this) |
| Day-to-day contact info | Use business email, VOIP, virtual address |
What CANNOT Be Shielded in CA¶
| Element | Reality |
|---|---|
| Member/Manager name | CA requires disclosure on Statement of Information |
| Beneficial ownership | FinCEN BOI reporting requires your name (federal, not state public record) |
Key insight: In California, your name will appear on public records as member/manager. Full anonymity requires a different state (WY, NM, NV) + foreign qualification into CA—adds complexity and cost.
Privacy Decision Point¶
| Option | Privacy | Complexity | Cost |
|---|---|---|---|
| CA LLC (direct) | Low (name public) | Low | ~$90 + agent |
| WY LLC + CA registration | Medium (name in WY only) | Medium | ~$400 + ongoing |
| NM LLC + CA registration | Higher (no public member disclosure) | Medium | ~$350 + ongoing |
Recommendation: For a research chemical business where your product category is legal and above-board, the CA direct approach is simpler. Your name being public is a tradeoff for operational simplicity. If privacy is paramount, consider WY/NM holding structure, but recognize CA will still require a Statement of Information with foreign LLC details.
Ongoing Obligations¶
Annual Requirements¶
| Obligation | Due | Cost | Notes |
|---|---|---|---|
| Franchise Tax | April 15 | $800 minimum | Required even if no income |
| Statement of Information | Every 2 years (anniversary) | $20 | Update if info changes |
| FinCEN BOI Report | Within 90 days of formation (new rule) | Free | Federal requirement |
First-Year Timeline¶
| When | What |
|---|---|
| Day 0 | File Articles of Organization |
| Day 0-90 | File initial Statement of Information |
| Day 0-90 | File FinCEN BOI report |
| Within 30 days | Obtain EIN |
| April 15 (following year) | Pay $800 franchise tax |
Note: The $800 franchise tax is owed for the first year even if you form on December 31. First-year is prorated only for new businesses that elect S-corp status.
Formation Decisions Required¶
HUMAN GATE: Pre-Filing Decisions¶
Before filing, you must decide:
- Management Structure
- Member-managed (you manage directly) — simpler for solo
-
Manager-managed (manager role separate) — useful if adding investors later
-
Privacy Approach
- Accept CA disclosure (name public, simplest)
-
Use holding company structure (research WY/NM options first)
-
Registered Agent
- Use a commercial service (keeps your home address off records)
-
Be your own agent (requires CA address, public)
-
Principal Address
- Virtual office / CMRA (keeps home address private)
- Home address (public record)
Filing Checklist¶

registered-agent-options.md) - Address strategy decided (see
virtual-address-options.md) - Management structure chosen
HUMAN GATE: File Articles of Organization¶
You must: 1. Go to CA SOS bizfile 2. Complete Form LLC-1 3. Pay $70 fee 4. Save confirmation and entity number
After Filing Articles¶
- Receive entity number (same day if online)
- File Statement of Information (within 90 days)

Questions to Confirm¶
Before proceeding, verify:
- Is $800/year franchise tax acceptable? This is non-negotiable in CA.
- Is your name being on CA public records acceptable? If not, research holding structure.
- Do you have a CA street address for registered agent? If not, you need a service.
- Timeline: When do you want to be operational? Formation is fast, but banking takes longer.
